Biography

Dan D’Alberto focuses exclusively on mergers and acquisitions, with an emphasis on representing founders and family-owned companies in the sale of their businesses. He leads competitive sell-side processes from pre-LOI preparation through diligence, definitive agreements, and closing—aligning legal terms with deal value while preserving relationships and continuity for owners and teams. Dan’s approach is practical and transaction-driven: clear timelines, disciplined buyer outreach, and crisp negotiation on the points that matter most to sellers, including rollover equity, earnouts, reps and warranties, working-capital pegs, post-closing covenants, and transition arrangements.

Alongside his legal practice, Dan is the founder of Purpose Equity, a lower-middle-market M&A advisory firm serving founder-led businesses. That market-side experience—running sell-side processes, preparing companies for diligence, and negotiating with strategic and private-equity buyers—gives him real-time insight into valuation, deal structures, and buyer behavior that he brings to each engagement.
